Terms & Conditions - In Company Courses


Bookings

Bookings may be made by phone, email or fax.  Bookings will be confirmed by email.

All bookings should be made through the Speak First office, rather than with a trainer directly.

Confirmation of a booking will be taken as acceptance of these Terms and Conditions.


Pricing

Speak First reserves the right at any time prior to completion of the contract to adjust the price to take into account any increase in the cost of raw materials, labour, services or other overheads.  Where possible, one months’ notice in writing of any change affecting the proposed estimate will be given.


Payment

An invoice will be issued 30 days or less prior to any training unless otherwise agreed in writing. The invoice will be due for payment immediately after the course or within 30 days of the invoice date. If expenses are invoiced after the training, payment will be due 15 days from the invoice date. Payment will be accepted by BACS, credit card or cheque. Cheques should be made payable to Speak First Limited.

In line with the Commercial Debt Act, 2000 regulations, interest on overdue accounts will be levied at 3.5% of the net amount per month.


Expenses

Expenses cover trainer travel, accommodation and subsistence costs incurred during the service as well as the hire of films/videos and equipment, and venue where relevant.  These items will be charged at cost. Road travel costs will be charged at £0.40 pence per mile.  For international travel Speak First reserves the right to agree additional charges for travelling time.

Training materials are included in the training fee. A fee will be charged for any materials used where Speak First has to purchase them from a third party.


Cancellations

In the event of cancellation by the Client, the Client shall nevertheless remain liable for all agreed fees on a proportional basis as listed below:

30 days or more before the course – no fee
Less than 30 days – 100% fee
If the training is rescheduled with less than 30 days notice, a cancellation fee of 50% applies.  All rescheduled training needs to take place within three months of the original date to obtain this rate.

All cancellations or amendments to bookings should be in writing.

Individual consultants will be selected and agreed with the Client.  However, in the event of illness or any other reason affecting the availability of the selected consultant, Speak First Ltd reserves the right to substitute a suitable replacement.  In the event of cancellation by Speak First Ltd due to illness of a consultant or any other reason beyond its control and a suitable replacement is unavailable, then Speak First Ltd will reschedule the work or course as soon as possible after the cancelled date. No fees will be payable to Speak First Ltd for the cancelled work or course. 


Copyright

All intellectual property rights in any materials developed by Speak First Ltd are the absolute property of Speak First Ltd unless specifically developed on behalf of and for a client and for the sole use of the client, when a different agreement may apply.

The duplication, resale or delivery to a third party of such a product by the Client is not permitted unless Speak First Ltd has previously granted written consent.


Disclaimer

All information is provided by us in good faith and Speak First Ltd will not be held responsible for actions taken by you or any other individual in your organisation as a result of the information provided during or after our services.


Liability

Speak First Ltd does not seek to exclude or restrict any legal liability it may have for death or personal injury resulting from the negligence of Speak First Ltd, its employees, consultants or other subcontractors and Speak First Ltd and the Client agree that the limitations contained herein are reasonable in the circumstances.

Speak First Ltd shall be under no liability whatsoever for any loss or damage, which results from or is caused in whole or in part by erroneous information or lack of information supplied by the Client as to the Client’s requirements in relation to the provision of the Services.

Speak First Ltd shall not be liable in respect of any loss or damage of any kind or however caused to premises or other physical property.  In the event of legal liability being established, Speak First Ltd shall not be liable to pay for any loss or damage.

Speak First Ltd cannot accept any liability incurred under the Agreement wherever and to the extent to which the fulfilment of Speak First Ltd obligations is prevented, frustrated, impeded and/or delayed as a consequence of any occurrence whatsoever beyond the reasonable control of Speak First Ltd.


Speak First Staff or Consultants

It is a condition of acceptance of the attached document and of any Contract arising from this that the Client will not recruit or employ either directly or indirectly either full or part time any person who is employed by Speak First Ltd upon or in connection with the execution of this project without Speak First Ltd’s prior consent in writing either during the execution of this project or for a period or one year from the completion hereof.


General

The person signing the contract shall expressly warrant that he/she has the authority of all persons included in the programme, whether detailed by name or not, to make application upon foregoing conditions on their behalf.

These Terms and Conditions supersede any conditions associated with client purchase orders unless otherwise agreed in writing.

This agreement shall be governed by and construed in accordance with the laws of England.
